Conditions of Use

§ 1 Area of Application, Customer Information

The following general terms and conditions regulate the contractual relationship between Matrix Handels GmbH and companies purchasing goods from our shop. Conditions contrary to or deviating from our terms and conditions are not accepted by us. The language of the contract shall be German.

§ 2 Entering into the Contract

(1) The online offers are an unbinding request for you to purchase goods.

(2) By entering your data and clicking the order button, you place a binding offer for entering into a purchasing contract. You can also enter your binding order on the phone or by fax. The receipt confirmation for your order is submitted by email or fax without delay; it does not yet constitute any acceptance of your purchase offer.

(3) We have the right to accept your offer within 1 working day by submission of an order confirmation by email. After the period according to sentence one elapses unsuccessfully, your offer is deemed rejected; this means that you are no longer bound to your offer. When ordering on the phone, the purchasing contract is entered into if we accept your offer at once. If the offer is not accepted at once, you are not bound to it anymore either.

§ 3 Customer Information: Saving your Order Data

Your order with details on the contract entered into (e.g. type of product, price, etc.) is stored by us. We send you the terms and conditions. You can also call the terms and conditions from our website at any time after entering into a contract.

As a registered customer, you can access your past orders via the customer login area (My Account).

§ 4 Customer Information: Correction Notice

You may correct your entries at any time with the delete button before submission. We will inform you of further correction options throughout the order process. You may terminate the order process at any time by closing the browser window.

§ 5 Retention of Title

The purchased object shall remain our property until paid in full.

§ 6 Prescription of your Warranty Claims

Your warranty claims due to defects of the purchased object shall lapse one year after passing of the risk. Damages claims, claims for defects maliciously concealed and claims from any warranty we assumed for characteristics of the object shall be excluded from this rule. Any claim to recourse pursuant to § 478 German Civil Code shall be excluded as well. The statutory prescription periods shall apply for these excepted claims.

§ 7 Limitation of Liability

We exclude liability for simply negligent violation of obligations if they do not affect any essential contractual obligations, damage from violation of life, body or health or warranties or affect any claims from the product liability act. This shall also apply for violation of obligations of our servants and statutory representatives. Essential contractual obligations shall include in particular the obligation to submit the object to you and to procure title in it for you. We are also obliged to procure the object for your free of defects of material and title.

§ 8 Jurisdiction

Our registered seat shall be the exclusive place of jurisdiction for any disputes from this contract if you are a merchant
